Subscription Agreement

1. Overview and Purpose

This Subscription Agreement ("Agreement") governs the commercial relationship between the customer ("Subscriber") and Journey Bound Media, LLC dba DecodeIQ ("DecodeIQ") for access to the DecodeIQ Service and associated features.

It supplements the Terms of Service and Privacy Policy. In case of conflict, this Agreement prevails for subscription and billing matters.

2. Service Description

DecodeIQ provides a Semantic Intelligence Service that analyzes content for AI retrieval optimization. Users submit URLs or text content for analysis, and the Service returns detailed reports including entity extraction, relationship mapping, proprietary metrics, and specific fix recommendations.

Each account operates under a page-based quota model:

Page allowances renew monthly according to plan tier.

3. Subscription Tiers and Pricing

3.1 Current Plans (Monthly)

All plans include a 7-day free trial. Credit card required at signup.

Cancel within 7 days to avoid charges. Annual billing may be introduced in the future.

3.2 Plan Adjustments

DecodeIQ may adjust pricing, page allocations, or available tiers with 30 days' written notice. Existing Subscribers may retain prior pricing for the remainder of their current billing cycle.

4. Billing and Payment

Processor: All payments are handled through Stripe, Inc.
Currency: United States Dollars (USD).
Renewal: Automatic monthly renewal on the original purchase date.
Payment Failure: If payment is unsuccessful, DecodeIQ may retry for up to 7 days, after which access may be suspended.
Taxes: Fees exclude applicable sales or VAT taxes, which are added where required.
Invoices: Issued automatically via Stripe; accessible in the account dashboard.

5. Refund and Cancellation Policy

Subscriptions are non-refundable, except for confirmed duplicate charges or verified service outages exceeding 48 consecutive hours without fallback capability.
Cancellation is effective at the end of the current billing period.
Unused page allowances at cancellation expire upon termination and are not refundable or transferable.
Refund requests must be submitted to Billing Email within seven (7) days of the charge.

6. Term, Renewal, and Termination

6.1 Term

Each subscription begins on the payment date and continues month-to-month until cancelled by either party.

6.2 Termination by Subscriber

You may cancel at any time via the Account → Billing portal. Cancellation takes effect at the next renewal date.

6.3 Termination by DecodeIQ

DecodeIQ may terminate access with written notice for:

Non-payment after 14 days' grace
Breach of Terms of Service or misuse
Legal or security risk identified in use

6.4 Post-Termination Data Handling

Within 30 days of termination:

Workspace data and analysis reports are deleted from Supabase and Pinecone.
Billing records are retained for 7 years (tax compliance).
Consent and telemetry logs remain anonymized for audit purposes only.

7. Service Levels and Availability

DecodeIQ targets:

Analysis completion: <60 seconds (typical)
Uptime: ≥99.5% measured monthly

Maintenance windows and outages are reported at status.decodeiq.ai. DecodeIQ is not liable for downtime caused by third-party providers or force majeure events.

8. Intellectual Property and License

Subscribers receive a non-exclusive, non-transferable, revocable license to use the Service within plan limits.

You retain ownership of all analysis reports generated from your inputs.
DecodeIQ retains ownership of the semantic analysis engine, metrics, and underlying systems.
Reproduction or redistribution of DecodeIQ's proprietary outputs (Semantic Density, Contextual Coherence, Retrieval Confidence, etc.) outside licensed use is prohibited.

9. Confidentiality

DecodeIQ treats all Subscriber data as confidential and will not disclose it except:

To authorized Sub-Processors listed in the Data Processing Addendum,
As required by law or court order, or
With written permission from the Subscriber.

Confidentiality obligations survive termination.

10. Liability and Indemnification

DecodeIQ's aggregate liability under this Agreement shall not exceed fees paid by the Subscriber in the 12 months preceding the claim.
DecodeIQ is not liable for indirect or consequential damages.
The Subscriber shall indemnify DecodeIQ against claims arising from misuse of the Service or unlawful content submission.

11. Compliance and Data Protection

DecodeIQ adheres to:

GDPR, CCPA, and applicable state privacy laws
Standard Contractual Clauses and Data Privacy Framework for transfers
Security measures listed in the Security & Compliance Statement

Subscribers must ensure that their own data entry complies with all applicable laws.

12. Notices

13. Governing Law

This Agreement is governed by the laws of the State of New Mexico, United States. Any disputes shall follow the arbitration provisions in the Terms of Service.

14. Entire Agreement

This Subscription Agreement, together with the Terms of Service, Privacy Policy, DPA, and Cookie Policy, constitutes the entire agreement between the parties concerning billing and access rights.
