1. Agreement Overview

These Terms of Service ("Terms") form a binding agreement between you ("Customer," "User," or "you") and Journey Bound Media, LLC dba DecodeIQ ("DecodeIQ," "we," "our," "us"). By accessing or using decodeiq.ai, app.decodeiq.ai, or any related APIs or services (collectively, the "Service"), you acknowledge that you have read, understood, and agreed to these Terms.

If you do not agree, you must not use the Service.

2. Service Description

DecodeIQ is a Buyer Intelligence Service for e-commerce sellers. Through its proprietary buyer intelligence engine, DecodeIQ scans real buyer conversations across Reddit, YouTube, forums, and review sites to extract buying criteria, objections, and language patterns that inform product listing copy.

Access Model

The Service operates on a credit-based subscription system with a 7-day free trial on all plans:

1 category scan = 5 credits. 1 product scan = 8 credits. Content generations range from 1-2 credits per format. The Listing Attack Plan = 2 credits. Add-on credit packs available from $19 (20 credits). All plans require a credit card and include a 7-day free trial. Cancel before the trial ends to avoid charges.

All trials include 10 credits regardless of plan tier. Trial credits are sufficient for one Category Scan plus content generations, or one Product Scan plus a generation. Full plan credits are allocated when the subscription activates at trial end or upon early upgrade.

3. Account Registration & Security

To use the Service, you must:

Be at least 18 years old.
Provide accurate registration details.
Maintain the confidentiality of your credentials.
Be responsible for all activity under your account.

DecodeIQ reserves the right to suspend or terminate accounts used for unauthorized purposes, scraping, or abuse.

4. Subscription Plans & Billing

4.1 Plan Structure

DecodeIQ offers three monthly tiers, each with a 7-day free trial:

All plans require a credit card at signup. Cancel within 7 days to avoid charges. Annual billing options may be introduced in the future.

During the 7-day trial, all plans receive 10 credits. Full monthly credit allocations begin when the paid subscription activates.

4.2 Billing Provider

Payments are processed by Stripe, Inc., which acts as DecodeIQ's secure payment processor. All payment data is handled directly by Stripe and not stored by DecodeIQ.

4.3 Renewals & Cancellations

Subscriptions renew automatically each month on the original purchase date.
You may cancel any time before the next renewal cycle to avoid charges.
Cancellation takes effect at the end of the current billing period.
Partial-month refunds are not provided.

4.4 Failed Payments

If payment fails, DecodeIQ may:

Retry payment for up to 7 days.
Suspend access until payment is complete.
Terminate the subscription after 14 days of non-payment.

5. Usage Allowances

Each account is allocated a monthly credit quota based on its plan tier. Credit allowances:

Are consumed per scan (5 credits) or per content generation (1-2 credits depending on format).
Reset at the beginning of each billing cycle.
Are non-transferable and non-refundable.
Cannot be rolled over between months.
Add-on credit packs never expire and do not reset monthly.

DecodeIQ reserves the right to adjust allowances or pricing for new features, with 30 days' notice.

6. Use Restrictions

Users agree not to:

Upload or process unlawful, harmful, or infringing content.
Attempt to reverse-engineer, scrape, or extract proprietary data.
Share results from the Service as benchmarks for competing systems.
Use the Service to create, train, or fine-tune LLMs without written consent.
Exceed API or usage limits that compromise service stability.

Violation may result in immediate account suspension without refund.

7. Intellectual Property

7.1 DecodeIQ Property

All software, architecture, documentation, and proprietary systems (buyer intelligence engine, Voice Maps, and associated metrics) are the exclusive property of Journey Bound Media, LLC.

7.2 User Outputs

You retain ownership of analysis reports generated from your inputs. DecodeIQ retains the right to store anonymized metadata for system improvement.

7.3 Feedback

Any suggestions or feedback you provide may be used freely to improve the Service without obligation or attribution.

8. Data Protection & Privacy

DecodeIQ processes limited personal data necessary to operate the Service. All processing complies with our Privacy Policy, which forms part of these Terms.

By using the Service, you consent to:

Processing of your data in accordance with the Privacy Policy
International transfers to approved sub-processors (OpenAI, Supabase, Stripe, etc.)
Use of anonymized telemetry for service optimization

9. Service Availability & Performance

DecodeIQ uses serverless infrastructure (Vercel + Supabase + Cloudflare) to ensure high uptime and data security. However, availability may occasionally be interrupted for:

Scheduled maintenance
System upgrades
Force majeure events (network outages, third-party downtime)

DecodeIQ is not liable for service interruptions outside its direct control.

10. Refund Policy

DecodeIQ subscriptions are non-refundable, except:

Duplicate charges caused by system error
Verified service outage exceeding 48 hours with no functional fallback

Refund requests must be submitted to Billing Email within 7 days of charge.

11. Termination

DecodeIQ may terminate your account if:

You breach these Terms
You fail to pay after the grace period
You engage in misuse or abuse of the system

Upon termination:

Access is revoked immediately.
Data is deleted within 30 days, unless retention is legally required.

Users may also terminate voluntarily by deleting their workspace through the account settings.

12. AI Visibility Monitor

12.1 Nature of the Service

The AI Visibility Monitor is a measurement service. It observes and records how third-party AI answer engines respond to a fixed, frozen set of category-level questions. It then reports whether and where monitored brands and products appear in those answers.

The current engines are ChatGPT, Google Gemini, and Perplexity. These services are the "Engines."

The AI Visibility Monitor:

Monitors and records the appearance of brands and products in Engine-generated answers to the frozen question set.
Records the sources the Engines cite in those answers.
Reports differences between two measurements of the same frozen question set, together with the measured variance bounds for those differences.

The AI Visibility Monitor does not:

Promote, influence, or alter any Engine's output, rankings, recommendations, or sentiment.
Guarantee that any brand, product, or content will appear in any Engine's answers.
Attribute an observed change to any cause, including your content, actions, or use of other DecodeIQ features.
Provide strategic, legal, or business advice.

12.2 No Guaranteed Results; Answer Variability

AI answer engines are probabilistic systems. The same question can produce different answers under the same conditions. Recommendations, orderings, and cited sources can also change.

DecodeIQ measures this variability and displays measured variance bounds with reported changes. A reported change describes the difference between two measurements. It is not a promise, prediction, or guarantee. DecodeIQ does not attribute the change to a cause.

DecodeIQ does not warrant that use of the Service, including content generated with DecodeIQ, will improve your visibility, ranking, appearance, or treatment in any Engine or in any search or answer system.

12.3 Third-Party Engines

The Engines are third-party services. DecodeIQ does not control their availability, models, indexes, or outputs. An Engine may change or discontinue its behavior, interface, or availability at any time without notice to DecodeIQ.

DecodeIQ may modify, add, or remove Engines from the Service at its reasonable discretion. If an Engine becomes unavailable, the Service excludes it from measurement and comparison. The Service does not report that event as an absence of visibility.

12.4 Applicable Disclaimers and Liability Limits

The disclaimers in Section 13 and the liability limits in Section 14 apply to the AI Visibility Monitor.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. DECODEIQ DOES NOT WARRANT UNINTERRUPTED ACCESS OR THAT OUTPUTS FROM AI MODELS ARE FACTUAL, COMPLETE, ERROR-FREE, OR SUITABLE FOR A SPECIFIC PURPOSE.

13.2 AI Visibility Monitor and Generated Content Disclaimer

THE AI VISIBILITY MONITOR, ALL MEASUREMENTS, SCORES, COMPARISONS, AND REPORTS IT PRODUCES, AND ALL CONTENT GENERATED BY THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. DECODEIQ DOES NOT WARRANT THAT MEASUREMENTS ARE COMPLETE, ERROR-FREE, OR REPRESENTATIVE OF ANY ENGINE'S BEHAVIOR OUTSIDE THE MEASURED QUESTION SET AND MEASUREMENT WINDOW.

You are responsible for reviewing the accuracy and suitability of any content generated by the Service before publishing or using it. Due to the nature of AI technologies, generated content may not be unique. Other users may receive similar or identical output.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DECODEIQ'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU TO DECODEIQ IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL DECODEIQ BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of New Mexico, United States. Any disputes shall be resolved through binding arbitration under the American Arbitration Association (AAA) rules, held in New Mexico, in English. Each party bears its own legal costs unless otherwise awarded by the arbitrator.

16. Modifications

DecodeIQ may update these Terms to reflect product, pricing, or compliance changes. All modifications take effect upon posting. Material changes will be communicated to active customers via email at least 14 days in advance.
